Acceptance of T&Cs

User's visit, access, browse or use of our Platform constitutes User's agreement with Bridge, to be bound by, and to act in accordance with these T&Cs, which shall be deemed to constitute a binding legal agreement between Bridge and User. The term "you" or "You" shall include any person or entity, who views, uses, accesses, browses or submits any content or material to the Platform.

You acknowledge and agree that the electronic form of these T&Cs shall not affect their validity, enforceability, or legal effect in any manner. Your use of the Platform is subject to all applicable laws and regulations.

You further acknowledge and agree that you have carefully reviewed and fully considered the allocation of risk, the disclaimers, and the limitations of liability set forth herein. You accept that such limitations are reasonable and constitute a fundamental and essential basis of the services you are availing, which include the expansion of your business through the Middle East region and any other service that may be offered by Bridge (collectively, the "Services").

The Platform is not intended to be used by Users under eighteen (18) years old. You represent at your own risk that you retain the authority and legal capacity to enter into this agreement with Bridge.

Platform Use and Account Registration

Using our Platform

By accessing or using the Platform, you confirm that:

• You are of the legal age required for accessing our Platform and in any case not under the age of eighteen (18) years
• If acting on behalf of a company or third party, you have the authority to bind such entity to these T&Cs
• You have not been subjected to a ban, termination, discontinuance or prohibition from accessing our Platform or using its features
• You will only provide us with information that is true, accurate, complete and current and will continuously update the information to keep it as such
• You will abide at all times by these T&Cs and any of our third-party service provider's terms of service

Registering for an Account

You may create an account on the Platform using a unique username and password of your choice. These credentials are personal and may not be duplicated or shared.

By using this Platform, you warrant that any personal information provided by you is true, accurate, current and complete in all respects and that you will notify us immediately of any changes to your personal information. You agree not to impersonate any other person or entity or to use a false name or a name that you are not authorized to use.

You are not allowed to register multiple accounts for use by the same person or entity. Users' passwords should be kept confidential at all times. You are responsible for all activities and orders that occur or are submitted through your account. If you know or suspect that someone has knowledge of your password, you should contact us immediately.

You shall be solely responsible for maintaining the confidentiality and security of your account credentials. We shall not be liable for any loss or damage arising from any unauthorized access to or use of your account.

You can delete your account at any time by accessing the account settings within your profile on the Platform.

Prohibited Use

Users agree not to use the Platform for any unlawful, harmful, fraudulent, abusive, or improper purpose. Prohibited activities include, without limitation:

• Creating fake, misleading, or duplicate accounts; impersonating any person or entity; or misrepresenting identity, qualifications, or affiliation
• Scraping, harvesting, copying, downloading, or extracting any data from the Platform, including member profiles, contact information, or content, whether manually or through automated tools, bots, crawlers, or scripts
• Attempting to probe, scan, breach, or test the security or vulnerability of the Platform, or engaging in any activity that attempts to disrupt, overload, or compromise the Platform's systems or infrastructure
• Uploading or distributing any viruses, malware, spyware, or harmful code
• Using the Platform to send unsolicited messages, promotions, advertisements, phishing attempts, or other spam activities
• Collecting, storing, or misusing data or personal information of other Members without legitimate authorization or without complying with applicable data protection laws
• Publishing any unlawful, defamatory, infringing, misleading, threatening, harassing, or inappropriate content
• Using the Platform in any manner that could damage Bridge's reputation, interfere with its operations, or circumvent its technical or commercial safeguards

Bridge reserves the right to suspend or terminate any User account that engages in prohibited conduct, without prior notice and without liability.

Partner Incentives and Referral Arrangements

Certain Users may, at Bridge's discretion, be designated as partners ("Partners") for the purposes of referring clients to use Bridge's services.

A Partner may be eligible to receive an incentive, referral fee, or other form of compensation ("Incentive") where such Partner introduces or refers a client who subsequently engages Bridge for services.

Any Incentive entitlement, structure, amount, conditions, payment terms, and eligibility criteria shall be determined separately and on a case-by-case basis between Bridge and the relevant Partner, and shall be subject to a separate written agreement or arrangement. Nothing in these T&Cs shall be construed as creating an automatic right to any Incentive.

Bridge retains full discretion to:

• Approve or reject any referral
• Determine whether a referred client qualifies for an Incentive
• Amend, suspend, or discontinue any incentive arrangement at any time

Partners shall not represent themselves as agents, employees, or legal representatives of Bridge, nor make any commitments or representations on Bridge's behalf. Referral activities must be conducted in a lawful, ethical, and professional manner.

Bridge shall not be liable for any loss of anticipated incentives, commissions, or referral fees, including where a client does not proceed, terminates services, or where Bridge decides not to engage the referred client.

Payment Terms

• Certain Platform features or services may be offered on a paid basis, subject to fees communicated in advance
• Fees are exclusive of applicable taxes unless stated otherwise
• Invoices may be issued electronically
• Payments must be made through supported payment methods
• Fees are non-refundable except where required by law
• Bridge may revise fees with prior notice
• Failure to complete payment may result in suspension or termination of access to paid features

Intellectual Property

All intellectual property rights in and to the Platform, including but not limited to its design, layout, software, databases, trademarks, trade names, logos, features, and functionalities, are owned exclusively by Bridge or its licensors. No rights or licenses are granted to the User except as expressly set out in these T&Cs.

Any content, profile information, images, videos, submissions, or materials uploaded, published, or shared by the User on the Platform ("User Content") shall remain the property of the User. However, by uploading or submitting User Content, the User grants Bridge a worldwide, royalty-free, non-exclusive, irrevocable, transferable, and sublicensable license to host, store, display, reproduce, modify, adapt, publish, and distribute such User Content for the purposes of operating, promoting, and enhancing the Platform.

The User represents and warrants that they own or have secured all necessary rights, licenses, permissions, and consents to publish or upload User Content to the Platform, and that such content does not infringe any third-party rights.

Bridge reserves the right, at its sole discretion, to remove any User Content that it considers inappropriate, misleading, unlawful, harmful, or in violation of these T&Cs.

No User may copy, distribute, reproduce, scrape, extract, or reuse any part of the Platform content or member profiles for commercial or competitive purposes without Bridge's prior written consent.

Disclaimer

Our Platform, Services, content and other features are provided on an "as is" and "as available" basis, and to the maximum extent permitted by applicable law, Bridge disclaims all representations and warranties, express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We make no representation and no warranty that our visitors, members or Users will be satisfied by our Services; that our Platform and/or Services will be accurate, complete or reliable; or that defects will be corrected.

You further acknowledge and agree that Bridge shall be fully indemnified and kept harmless from any liability or accountability related to any User and/or Member's data available on our Platform.

Data Sharing and User Consent

By accessing, browsing, or using the Platform, creating an account, registering as a User or Member, or sharing your profile with Bridge, you acknowledge that you have read and agreed to the terms of our Privacy Policy and hereby provide your explicit, informed, and clear consent to the collection, use, and disclosure of your personal data as described therein, in accordance with applicable data protection laws in the UAE and KSA.

Such processing may include the disclosure of personal data to Bridge's subsidiaries, affiliates, business/service partners, platform service providers, and marketing service providers, for the purposes of account management, profile listing, business growth, service enhancement, and communication of relevant updates, offers, and product-related information.

You further agree to indemnify Bridge, its subsidiaries, its affiliates, platform service providers, marketing service providers, and any third-party entities involved in the provision of Services, from any claims, liabilities, or legal actions arising from the use of your personal data for the purposes stated in the Privacy Policy.

All personal data will be handled in accordance with applicable data protection principles, including lawfulness, fairness, transparency, data minimization, and purpose limitation.

Information Accuracy and Updates

Bridge shall not be held liable for any outdated or inaccurate information contained within the Platform. While every effort is made to ensure the accuracy of the content, Bridge reserves the right to modify, update, or correct any information, including but not limited to pricing, descriptions, or availability of products, without prior notice to the User.

Suspension and Discontinuation of Services

Bridge reserves the right, at its sole discretion, to suspend, discontinue, or make modifications to any part of the Platform including but not limited to its Services, products, or features, without prior notice. Bridge, its subsidiaries, and its affiliates, shall not be liable for any damages or inconvenience resulting from such actions.

Bridge shall not be held liable for any failure or delay in the performance of its obligations under these T&Cs if such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, acts of terrorism, civil unrest, governmental actions, labor strikes, or interruption or failure of power supplies, communication systems, or transportation ("Force Majeure"). If the Force Majeure event continues for more than thirty (30) days, Bridge shall have the right to terminate the affected Services in whole or in part, without incurring any liability.

Termination

We retain the right to restrict or suspend your use of, deny access to, and/or terminate your account on our Platform with or without notice, if we have reason to believe you have violated or conducted actions that may result in violations of any of these T&Cs, including providing us with false information.

We reserve the right to collect any outstanding balance in your account before we proceed with termination.

Any provision of the T&Cs that contemplates performance or observance subsequent to termination shall survive and continue in full force and effect.

Indemnification

You agree to defend, indemnify and hold harmless Bridge, its subsidiaries, its affiliates, platform service providers, marketing service providers, officers, directors, employees, agents and affiliates (each, an "Indemnified Party") from and against any losses, claims, actions, costs, damages, penalties, fines and expenses, including without limitation attorneys' and experts' fees and expenses, that may be incurred by an Indemnified Party arising out of, relating to or resulting from (i) these T&Cs; and (ii) use of the Platform and/or Services, including without limitation any actual or alleged violation of any law, rule or regulation.

Amendments

Bridge reserves the right to amend, cancel or change these T&Cs at any time in its sole discretion, without any notice and without any liability. Subject to applicable laws, the amended T&Cs shall be effective immediately upon posting of the revised T&Cs on the Platform. It is your responsibility to check the T&Cs regularly to ensure that you are updated as to any changes. Your continued use of the Platform confirms that you have read, accepted, and agreed to be bound by the T&Cs and any modifications thereof.

Governing Law and Dispute Resolution

These T&Cs shall be governed by the UAE laws. You hereby irrevocably consent that any dispute arising out of these T&Cs, including their interpretation or their effect and/or your use of our Platform and/or Services, shall be referred to and exclusively resolved by the Dubai courts.

Notwithstanding the foregoing, we reserve the right to initiate proceedings before any court of law in any jurisdiction, if necessary, to seek urgent or precautionary measures to preserve our rights.

No Waiver

The failure to insist upon strict performance of any provision of these T&Cs shall not be construed as a waiver of any term, but these T&Cs shall continue and remain in full force and effect as if no waiver had occurred.

Severability

The invalidity or the unenforceability under applicable law of any part of these T&Cs will not affect the validity of any remaining parts which shall remain in full force and effect.

Entire Agreement

These T&Cs shall constitute the entire agreement between Bridge and the User, regarding the visit, view, browsing, access to and use of our Platform along with its Services and features, and supersedes any prior agreements, understandings, and representations with respect to the subject matter hereof.
