Capital Market Authority Approves Regulatory Framework for Simplified Investment Funds to Enhance Investment Flexibility

The Capital Market Authority (CMA) has approved the regulatory framework for establishing “Simplified Investment Funds”, a move aimed at enhancing the Saudi financial market by introducing more flexible and lower-cost investment vehicles compared to traditional funds.

The decision seeks to enable fund managers to structure contractual relationships with investors more flexibly, allowing the design of investment products that better meet the evolving needs of targeted investor segments while supporting the growth and diversification of the local investment landscape.

The new regulatory framework introduces a set of provisions that provide investment managers with greater operational flexibility in managing and structuring funds, improving efficiency while reducing administrative complexities associated with establishing and managing investment funds.

Key regulatory provisions include:

Contractual Flexibility
Fund managers are granted broader authority to define the governing terms of their relationship with unit holders, including liquidation policies, unit class characteristics, and mechanisms for periodic reporting.

Simplified Procedures
The framework allows greater flexibility in amending terms and conditions and managing unit holders’ meetings, helping reduce administrative and operational complexities.

This initiative reflects the Capital Market Authority’s efforts to strengthen the attractiveness of the Saudi capital market by diversifying investment products available to institutions. The simplified funds are expected to accelerate the launch of specialized investment projects due to lower regulatory barriers and associated costs, enabling asset managers to respond more effectively to emerging market opportunities.
